This master services agreement (the “MSA”) is made between Course Master Studio Inc., a British Columbia corporation ("Agency", “we”, “us” or "Course Studio") with an address of 1010 Raymur Avenue, British Columbia, and Notion Labs Inc.("Client", “you”, or “Notion”) on the date as referenced below where signed and dated by both parties.
This document is an overview of the terms and conditions that will govern all of our projects together. Beyond this MSA, we will be providing Statements of Work (SOWs) to address each individual project’s scope, payment schedule, and unique considerations. Each SOW will form part of this MSA and will be subject to the terms of this MSA.
Our relationship and this agreement
- The term of this MSA will begin as of the date written above and will continue until terminated in accordance with the terms of the MSA.
- Under this MSA, Course Studio agrees to provide strategy, creative, marketing, and development services to you, the Client. The specifics of these services will be laid out in individual SOWs.
- In exchange for the services outlined in an SOW, you agree to pay us the corresponding fees within that SOW, per the schedule provided.
- We are independent contractors. The signing of this MSA does not create an employer-employee, a partnership or joint venture, nor does this MSA guarantee future work or projects.
- You are free to work with other agencies and contractors as you see fit.
- We are free to work with other businesses as we see fit, including other businesses within your industry.
- We do not create, incur, or assume any liability on behalf of your organization.
- We make no warranty or guarantee as it relates to our products or services, including any (a) warranty or condition of merchantability; or (b) warranty or condition of fitness for a particular purpose; or (c) warranty of title; or (d) warranty against infringement of intellectual property rights of a third.
Payment expectations and considerations
- Course Studio will provide you with invoices for all approved work.
- You will provide Course Studio with the name and contact details of an individual who is authorized as a representative and has full authority to approve expenses.
- Invoicing schedules will be outlined in individual SOWs.
- All deposit invoices for new projects are due immediately prior to project kickoff.
- All progress or completion invoices are due within fifteen (15 days) of the invoice being issued (unless alternative payment terms are agreed to in the SOW).
- All material travel expenses required to fulfill the project are the responsibility of the Client. Course Studio will seek written approval from the Client prior to incurring any of these expenses.
- Course Studio accepts payments in the form of a wire transfer or electronic payment.
